Brist.West is a business brand operated by Bandik Solutions Inc., a Canadian corporation. These Terms of Service govern your use of bristwest.com and any professional services provided by Brist.West unless a separate written agreement states otherwise.
By using our website, approving a proposal, making a payment, or engaging our services, you agree to these Terms.
Brist.West provides professional services including:
Website design and development
Digital marketing and SEO
Branding and creative services
Technology consulting and support
CRM implementation
Business automation and integrations
Strategy and related professional services
Specific deliverables, fees, timelines, and responsibilities may be set out in a quotation, proposal, invoice, statement of work, or separate service agreement.
If a project-specific agreement conflicts with these Terms, the project-specific agreement will apply to that project.
Our quotations and proposals are based on the information available when they are prepared.
Work requested outside the agreed scope may require additional time and fees. This may include:
Additional pages
New functionality
Extra revision rounds
New integrations
Major design changes
Additional campaigns or automation
Work not included in the original proposal
We will communicate additional charges before proceeding where reasonably practical.
Clients are responsible for providing the information, materials, access, credentials, approvals, and feedback reasonably required to complete the work.
This may include:
Website or hosting access
Domain credentials
Logos and brand assets
Written content
Images and videos
CRM or software access
Advertising account access
Business and project information
Delays in providing required materials or approvals may extend the project timeline.
The Client is responsible for ensuring that all materials supplied to Brist.West are lawful and properly authorized for use.
Fees and payment schedules will be stated in the applicable quotation, invoice, proposal, or agreement.
Depending on the project, we may require:
An upfront deposit
Milestone payments
Monthly fees
Recurring payments
Final payment before delivery
Applicable taxes may be added where required.
Brist.West may pause work or withhold final deliverables until outstanding amounts relating to the project have been paid.
Deposits may be used to reserve project capacity, begin planning, allocate resources, and commence work.
Once work begins, payments are not automatically refundable.
If a project is cancelled, Brist.West may deduct amounts relating to:
Work already completed
Time spent on the project
Completed milestones
Approved third-party expenses
Non-recoverable project costs
Any remaining refundable balance, where applicable, will be handled according to our Refund & Cancellation Policy.
Nothing in these Terms removes any legal right that cannot lawfully be waived.
The Client retains ownership of materials supplied to Brist.West.
Unless otherwise agreed in writing, ownership of custom final deliverables created specifically for the Client transfers after all applicable project fees have been paid in full.
Brist.West retains ownership of its pre-existing:
Templates
Frameworks
Code libraries
Tools
Processes
Methodologies
Reusable components
Internal working files
Third-party software, fonts, themes, plugins, stock media, APIs, and similar materials remain subject to their own licences.
Unless prohibited by a confidentiality agreement or otherwise agreed in writing, Brist.West may display completed non-confidential work in its portfolio, website, case studies, social media, presentations, and marketing materials.
Clients may request in writing that confidential projects not be publicly displayed.
Projects may rely on third-party services including:
Hosting providers
Domain registrars
Advertising platforms
CRM systems
APIs
Cloud services
Plugins
Software platforms
Payment processors
Unless expressly included in our quotation, third-party fees are the Client’s responsibility.
Brist.West is not responsible for decisions, outages, restrictions, policy changes, suspensions, pricing changes, or technical changes made by third-party providers.
Marketing results depend on factors outside our control.
Brist.West does not guarantee specific:
Sales
Leads
Revenue
Search rankings
Conversion rates
Advertising results
Website traffic
Return on advertising spend
We will provide agreed services professionally and use reasonable efforts toward established objectives.
Advertising spend paid to platforms such as Google, Meta, Microsoft, LinkedIn, or other networks is separate from Brist.West’s professional fees.
Project completion dates are reasonable estimates unless expressly guaranteed in writing.
Timelines may change due to:
Client delays
Scope changes
Third-party issues
Technical complications
Platform or API changes
Circumstances outside our reasonable control
We will make reasonable efforts to communicate material delays.
Included revisions will be defined by the relevant proposal or project agreement.
Requests that materially change the approved scope, concept, functionality, or structure may be treated as additional work.
Clients are responsible for reviewing designs, content, functionality, campaigns, configurations, and other deliverables before approval.
Once approved, substantial changes may require additional fees.
CRM systems, APIs, integrations, automation platforms, and third-party software may change over time.
We cannot guarantee permanent compatibility or uninterrupted availability of third-party systems.
Additional work required because of third-party changes may be billed separately unless covered by an active maintenance agreement.
Each party agrees to take reasonable steps to protect confidential business, technical, commercial, and financial information received from the other party.
Confidential information may only be disclosed where:
Necessary to perform the services;
Shared with authorized personnel or service providers;
The other party gives permission; or
Disclosure is required by law.
Additional confidentiality terms may be established through a separate agreement.
Clients must not use our services for:
Illegal activity
Fraud
Unauthorized system access
Copyright or trademark infringement
Distribution of malware
Unlawful communications
Deceptive or abusive activity
Brist.West may refuse or discontinue work that we reasonably believe involves illegal, fraudulent, deceptive, or unauthorized activity.
Brist.West may suspend or terminate services where reasonably necessary because of:
Materially overdue payments
Material breach of an agreement
Security risks
Suspected unlawful activity
Repeated failure to provide required cooperation
Abusive or fraudulent conduct
Either party may terminate a service relationship according to the applicable proposal or agreement.
Following termination, the Client remains responsible for amounts properly owing for work already performed and approved third-party expenses.
We make reasonable efforts to maintain accurate website information and provide professional services.
However, we do not guarantee that our website or third-party systems will always be uninterrupted, error-free, or continuously available.
Information on our website is provided for general informational purposes and should not be treated as legal, financial, tax, accounting, or other regulated professional advice.
To the maximum extent permitted by law, Brist.West and Bandik Solutions Inc. will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of anticipated revenue, profits, opportunities, or data.
Where liability may legally be limited, our total liability relating to a paid service will not exceed the amount paid to us for the applicable service giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be excluded or restricted.
Personal information is handled in accordance with our Privacy Policy.
By using our website or services, you acknowledge that personal information may be collected and processed as described in that policy.
You agree that project communications, approvals, invoices, agreements, and other records may be exchanged electronically through:
Website forms
Client portals
Messaging platforms
Electronic signatures
Other mutually agreed methods
Electronic approvals and records may be relied upon to document project instructions and decisions where legally permitted.
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Any dispute will be subject to the courts having jurisdiction in Ontario, unless applicable law requires otherwise.
Nothing in these Terms removes rights or remedies that cannot legally be waived.
We may update these Terms periodically to reflect changes to our services, practices, or legal requirements.
The latest version will be published on our website with the updated Last Updated date.
Changes to these website Terms will not automatically override a separate signed agreement for an existing project.
